Amend and restate item 1.01 of the first 8-K as follows

Item 2.01 Completion of Acquisition or Disposition of Assets

Item 2.01 of the first 8-K is amended to add:

Pursuant to the Asset Purchase Agreement, MBGR was obligated to, but did not make, payments to the company in connection with the closing of the transaction. $ 1,000,000 ($1,000,000.00) in cash and was obligated to issue one million shares of the Company’s Series A Preferred Stock to MBGR or its designees, but did not do so.
